KNOXBOTS LLC – TERMS AND CONDITIONS

 These Terms and Conditions ("Terms") govern the sale of robotic mowing equipment, related products, and services (collectively, the "Services") by KnoxBots LLC, a Tennessee Limited Liability Company ("KnoxBots," "we," "us," or "our"), to you, the customer ("Customer," "you," or "your"). By purchasing equipment or Services from KnoxBots, you agree to be bound by these Terms.

2. SERVICE AREA:



KnoxBots primarily provides Services within a 30-45 mile radius of Knoxville, Tennessee. Service calls outside this radius may be subject to a travel fee of $1.50 per mile. Customers subscribing to service plans must reside within the 30-45 mile radius or will be subject to a premium on their service plan.


3. SERVICES:



KnoxBots offers the following Services:

  • Robotic Mower Sales: Sale of Husqvarna, Kress, and Korechi robotic mowers.
  • Installation: Professional installation of perimeter wire and charging station, including initial programming of the mower. We will take reasonable steps to avoid damaging underground utilities, but the Customer is ultimately responsible for accurately identifying and marking all such utilities. KnoxBots is not liable for damage to unmarked underground utilities.
  • Programming: Initial programming of the mower's schedule and settings. Customers may adjust settings after initial programming, but KnoxBots is not responsible for issues arising from Customer-made changes.
  • Maintenance: Scheduled and on-demand maintenance, including blade sharpening/replacement (as needed), software updates, and troubleshooting. Specific maintenance offerings vary by service plan (see Section 5).
  • Monitoring: Remote monitoring of mower performance (details vary by service plan).
  • Storage: Optional off-season storage of robotic mowers (additional fees may apply).
  • Emergency Services: Response to emergency situations (e.g., mower malfunction, boundary breaches). Response times are subject to availability and may be affected by circumstances beyond our control.
  • Warranty Service: Facilitation of warranty claims with the equipment manufacturer. KnoxBots also provides its own warranty service as detailed in Section 6.
  • Autonomous Line Painting: (For sports fields, etc.) Details and pricing to be provided separately.
  • Autonomous Range Picking: (For golf courses, etc.) Details and pricing to be provided separately.


4. EQUIPMENT SALES:



Brands: KnoxBots sells Husqvarna, Kress, and Korechi robotic mowers.

Manufacturer Warranty: Equipment is covered by the manufacturer's warranty. Details of the manufacturer's warranty are provided with the equipment.

KnoxBots Warranty: KnoxBots provides a 60-day warranty on installation workmanship. This warranty covers defects in the installation process only and does not cover damage caused by the Customer, third parties, or Acts of God.

Payment: 50% of the equipment purchase price is due prior to installation, with the remaining 50% due upon completion of installation, unless otherwise agreed upon in writing.

Title Transfer: Ownership of the equipment transfers to the Customer upon full payment.

Returns/Refunds:

  • Mowers: A full refund is available for robotic mowers returned within 30 days of purchase, provided the mower is not damaged (but does not need to be in unused condition). A restocking fee of 25% may apply to mowers that are not in new condition.
  • Service: A refund for service fees (excluding the initial deposit, which is non-refundable) is available within 90 days of the service being performed, provided the Customer can demonstrate that KnoxBots failed to perform the service to a reasonable professional standard.

Deposits: Deposits are refundable unless the service has already begun.

5. SERVICE PLANS:



KnoxBots offers the following service plans:

  • Maintain ME:
    • Description: This plan covers all parts replacements, service, and labor for the first three years of ownership. It includes a 48-hour on-site response time (with a reasonable allowance for up to 72 hours due to extenuating circumstances).
    • Pricing:
      • First Acre: $100/month
      • Additional Acres: $59/month per acre
    • Coverage: This plan covers normal wear and tear and defects in materials and workmanship. It does not cover damage caused by Customer negligence, abuse, misuse, unauthorized modifications, Acts of God, or failure to follow KnoxBots' instructions.
  • SYNC (KnoxBots Owns Equipment):
    • Description: KnoxBots retains ownership of the equipment, and the Customer pays a monthly fee per acre. This plan is typically offered for properties of 5 acres or more.
    • Pricing: Pricing is per acre and varies based on the total acreage:
      • 0-5 Acres: $400/acre
      • 5-25 Acres: $270/acre
      • 25+ Acres: $180/acre
      • Pricing is subject to negotiation and may vary based on specific site conditions.
    • Minimum Acreage: Typically 5 acres (negotiable).
    • Coverage: This plan covers all maintenance, repairs, and replacements of the KnoxBots-owned equipment, excluding damage caused by Customer negligence, abuse, or misuse.
  • Contract Terms: Contracts have a minimum duration of one (1) year, unless otherwise negotiated.

6. CUSTOMER RESPONSIBILITIES:



Property Preparation: Customers are responsible for:

  • Clearly marking any underground hazards, including but not limited to fiber optic cables, sprinkler systems, and invisible fences.
  • Ensuring the property is free of obstacles that could damage the mower (e.g., large rocks, tree roots, toys).
  • Providing a suitable power supply for the charging station.

Equipment Care (If Customer-Owned): Customers are responsible for basic care of the equipment, including avoiding neglect and abuse.

Access: Customers must provide KnoxBots with reasonable access to their property for installation, maintenance, and service calls. For customers on the "Maintain ME" plan, this includes access even when the customer is not present.

Safety: Customers are responsible for ensuring the safety of pets and children around the operating mower. KnoxBots is not liable for injuries to pets or children resulting from the Customer's failure to supervise them.

Reporting Issues: Customers must report any problems or requests for service to their designated KnoxBots representative via phone, email, or the online portal.

Communication: Customers must maintain open communication with KnoxBots and promptly respond to requests for information.

Compliance with Laws: Customers must comply with any and all applicable laws and regulations.

Insurance: Customer must carry adequate homeowners insurance.

7. PAYMENT TERMS:



Payment Methods: KnoxBots accepts credit cards, checks, online payments, and ACH transfers.

Late Payment: A late payment fee of 10% per month (or the maximum amount permitted by law, whichever is lower) will be applied to any overdue balance.

Service Plan Payments: Service plan fees are due monthly, in advance.

8. LIABILITY & DISCLAIMERS:



LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNOXBOTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, OR DAMAGE TO PROPERTY (OTHER THAN THE ROBOTIC MOWER ITSELF, TO THE EXTENT COVERED BY WARRANTY), ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF KNOXBOTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KNOXBOTS' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO KNOXBOTS FOR THE SPECIFIC SERVICE OR EQUIPMENT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.  

DISCLAIMER OF WARRANTIES: EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, KNOXBOTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KNOXBOTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.  

Acts of God: KnoxBots is not liable for delays or failures in performance caused by Acts of God, including but not limited to weather events, natural disasters, and pandemics.

Indemnification: The customer agrees to indemnify and hold harmless KnoxBots, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to the Customer's use of the Services, breach of these Terms, or violation of any applicable law or regulation.

9. TERMINATION & CANCELLATION:  



Customer Cancellation: Customers may cancel a service agreement with 30 days' written notice. Cancellation fees will not be applied, provided the minimum contract term (if applicable) has been fulfilled. The specific details of cancellation procedures and any applicable terms are outlined in the individual service plan agreements (Maintain ME and SYNC).

KnoxBots Cancellation: KnoxBots may terminate a service agreement for the following reasons:

  • Non-payment of fees.
  • Breach of these Terms by the Customer.
  • Unsafe conditions on the Customer's property.
  • Customer's failure to cooperate with KnoxBots.
  • Any other reason deemed sufficient by KnoxBots, with 30 days' written notice to the Customer.

Effect of Termination: Upon termination, the Customer is responsible for any outstanding fees. If KnoxBots owns the equipment (SYNC plan), KnoxBots will remove the equipment from the Customer's property.

10. GENERAL PROVISIONS:



  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.  
  • Dispute Resolution: Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through informal negotiation between the parties. If informal negotiation fails, the dispute shall be submitted to binding arbitration. If binding arbitration is unsuccessful or inapplicable, the dispute shall be resolved through litigation in the courts of Knox County, Tennessee.
  • Entire Agreement: These Terms constitute the entire agreement between KnoxBots and the Customer with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.  
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.  
  • Amendments: KnoxBots may amend these Terms at any time. While KnoxBots is not required to provide advance notice of changes, customers will be notified of any amendments. Customers who do not agree to the amended Terms have the right to terminate their service agreement without penalty.
  • Assignment: Neither party may assign these Terms without the prior written consent of the other party, except that KnoxBots may assign these Terms to a successor in interest in connection with a merger, acquisition, or sale of all or substantially all of its assets.
  • Force Majeure: Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.  
  • Notices: All notices under these Terms shall be in writing and shall be deemed to have been duly given when delivered personally, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:
    • If to KnoxBots: At the address listed in Section 1.
    • If to Customer: At the address provided by the Customer during registration or purchase.
     
  • Waiver: No waiver of any provision shall constitute a continuing waiver of such provision or a waiver of any other provision.

BY PURCHASING EQUIPMENT OR SERVICES FROM KNOXBOTS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
